The Software and all intellectual property rights therein, including without limitation, trademarks, copyrights, patents, and trade secrets, are owned by Mutley or its licensors. You may not use or reproduce any of the intellectual property without the prior written consent of Mutley.

User Content

You may submit or upload content to the Software, including without limitation, images, text, and videos (“User Content”). You represent and warrant that you have all necessary rights to submit or upload User Content, and that the User Content does not infringe on the rights of any third party. You grant Mutley a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, display, and modify the User Content for the

purposes of providing the Software and related services.

Prohibited Conduct

You may not use the Software in any manner that could damage, disable, overburden, or impair the Software or interfere with any other party’s use of the Software. You may not engage in any activity that is illegal, infringing, or in violation of these Terms or any applicable law.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MUTLEY DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED,

ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

IN NO EVENT SHALL MUTLEY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS OR REVENUES, BUSINESS INTERRUPTION, OR LOSS OF DATA, WHETHER ARISING FROM YOUR USE OF THE SOFTWARE OR YOUR INABILITY TO USE THE SOFTWARE, REGARDLESS OF

WHETHER MUTLEY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

Mutley may terminate your access to the Software at any time for any reason, with or without notice. Upon termination, you must immediately stop using the Software and delete all copies of the Software from your computer or device.

Governing Law and Jurisdiction

These Terms and your use of the Software shall be governed by and construed in accordance with the laws of Australia. without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts of Australia.

Changes to the Terms

Mutley may update or modify these Terms at any time without prior notice. Your continued use of the Software after any changes to the Terms indicates your acceptance of the modified Terms.

Entire Agreement

These Terms constitute the entire agreement between you and Mutley with respect to the use of the Software and supersede all prior or contemporaneous communications and proposals, whether oral or written.
